Official Rules

THESE SOCIAL MEDIA POST SWEEPSTAKES TERMS APPLY TO ALL THE SPONSOR SWEEPSTAKES TO WHICH THEY ARE LINKED. NO PURCHASE OR PAYMENT NECESSARY TO ENTER OR WIN. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. YOU MUST BE 18 YEAR OLD OR OLDER TO ENTER. VOID WHERE PROHIBITED BY LAW. SWEEPSTAKES ARE IN NO WAY SPONSORED, ENDORSED OR ADMINISTERED BY, OR ASSOCIATED WITH, FACEBOOK, TWITTER OR INSTAGRAM.

 Who may enter: The Nutrients Solutions Social Media Sweepstakes is open to legal residents of the 50 United States and the District of Columbia who are 18 years or older with a public Instagram or Twitter account. The following persons are not eligible to enter the Sweepstakes: employees of Nutrients Solutions, LLC. (the “Sponsor”), its affiliates or subsidiaries, employees of any organizations directly involved with this Sweepstakes, immediate family members and persons living in the same household as the persons identified in or above.  The Sponsor reserves the right not to award a prize and to select an alternative winner if the Sponsor is aware that a winner is not eligible. By entering the Sweepstakes, you confirm that all information submitted by you is accurate. Void where prohibited by law.

Sweepstakes Period: The Sweepstakes begins on August 13, 2018, at 12:00:01 a.m. Eastern Time ("ET"), and ends on September 13, 2019, at 11:59:59 p.m. ET (the "Sweepstakes Period").

How to Enter:  To enter the Sweepstakes, an Entrant must visit www.nutrientssolutions.com/free-products (the “Website”) at any time during the Sweepstakes Period and follow the on-screen instructions to register with Sponsor by completing all required fields on the Website and; and electronically agree to the Official Rules. All entries must be received during the Sweepstakes Period. Late submissions or entries will not be accepted. Upon completion of the entry, the Entrant will be automatically entered for a chance to win a prize.

 The Sponsor reserves the right to use any photograph/video submitted to the Sweepstakes during the Sweepstakes period, without the expressed written or verbal permission of Entrant or those included within the photograph/video. The Sponsor may use the photograph/video in publications or other media material produced, used or contracted by the Sponsor including, but not limited to: brochures, flyers, invitations, catalogs, books, advertisements, radio, newspapers, magazines, television, websites, email, video, signage, social media, multimedia, etc. By entering the Competition, the entrant understands that he/she will not be entitled to any compensation for any use of the Photo by the Sponsor.

You must have a public Instagram or Twitter account to participate. Accounts are free. Entrants are prohibited from using multiple names, social media accounts, or other means to enter more than once. Any attempt to do so is grounds for disqualification. Use of any macro, bot, script or other automated means to submit entries is prohibited. Proof of submission is not proof of receipt. Sponsor's database computer is the official time-keeping device for the Sweepstakes. Entries will not be acknowledged. In the event of a dispute over the identity of an entrant, the entry will be deemed submitted by the authorized account holder of the email address associated with the Instagram or Twitter account used to post the entry. "Authorized account holder" is defined as the natural person who is assigned to an email address.

ENTRY REQUIREMENTS:  All Submissions are subject to Instagram’s and Twitter’s terms of use. Submissions also must:

·       Be the original work of the entrant;

·       Be in keeping with the Sponsor’s image;

·       Not defame or invade publicity rights or privacy of any person, living or deceased, or otherwise infringe upon the rights of any person or entity, including but not limited to copyright, trademark, privacy or publicity;

·       Not contain any commercial/corporate advertising, including but not limited to corporate logos, brand names, and slogans other than the Sponsor's;

·       Not depict any conduct or content that is unsafe, immoral, obscene or otherwise inappropriate as determined by Sponsor in its sole and absolute discretion; and Not have been submitted in any other Sweepstakes or won any prize.

Failure to meet any of the requirements above, or to otherwise comply with these Official Rules, may result in disqualification. Sponsor reserves the right to delete or blur any inappropriate content from a Submission without disqualifying the entry where, in Sponsor's determination, such change does not materially alter the Submission, and the entrant has otherwise attempted in good faith to comply with these Official Rules. Sponsor may post or not post any Submission on its social media outlets or in any other form of communication in its discretion.

Publicity/USAGE Rights: By entering, you warrant and represent that you have created your Submission as an original work and that all required third-party releases (if any) have been obtained in writing, and you further agree to acknowledge and agree that Sponsor (and those acting with its authorization) may copy, reproduce, edit, broadcast and otherwise use your submission in any way in any medium whether now existing or later discovered, worldwide, in perpetuity, including but not limited to posting online. Except where prohibited, participation in the Sweepstakes and/or receipt or use of any prize further constitutes the winners' consent for use of his/her Submission, name, likeness, voice, opinions, statements, biographical information, and/or hometown and state for promotional or advertising purposes in any media, worldwide, now known or hereafter developed, in perpetuity, without further review, notification, payment, or consideration (unless prohibited by law).

WINNER NOTIFICATION: Winner Selection and Notification Winners are selected at random (unless stated otherwise). A single Entrant may only enter once (unless otherwise indicated). If a Sweepstakes necessitates a submission of Entrant-generated content as a condition to enter and participate, winner(s) will be selected by Sweepstake judge(s) on the basis of submission creativity and adherence with the winning criteria designated in the Posting. Potential winners will be notified about five (5) days after the conclusion of the sweepstakes, via email, telephone, and applicable social media outlet tied to the entries selected as the potential winners. No liability is assumed for any winner notification that is lost, intercepted or not received by a potential winner for any reason. If a potential winner does not respond within three (4) days after the first notification attempt, or if the prize or prize notification is returned as unclaimed or undeliverable to such potential winner, such potential winner may be disqualified, and an alternate winner may be selected. If any potential winner is found to be ineligible, or if he or she has not complied with these Official Rules or declines a prize for any reason prior to award, such potential winner will be disqualified, and an alternate winner may be selected. Each potential winner may be required to execute an Affidavit of Eligibility, a Liability Release, and (where legal) a Publicity Release (collectively, "Prize Claim Documents"). If any eligible winner is not of legal age of majority in his or her state of residence (a "minor"), at Sponsor's option, the applicable prize either may be awarded in the name of parent or legal guardian of winner, or parent or legal guardian of winner may be required to ratify and sign all Prize Claim Documents.

Prizes/Odds: All awarded prizes (in addition to corresponding retail value) will be those as described in the Posting. Once validation or arrangement for delivery has been made, Winners must allow up to one to three weeks for delivery of the Prize. Odds of winning will depend upon the total number of eligible entries received. Prizes are non-transferable, with no cash redemptions, equivalents or substitutions except at Sponsor’s sole and absolute discretion. No returns or refunds allowed. Sponsor makes no representation or warranties concerning the appearance, safety or performance of any prizes awarded.

All prize details not specified in these Sweepstakes Terms will be determined in Sponsor's sole and absolute discretion. Prize details and availability are subject to change. If Sponsor is unable to provide the winner with their prize, the Sponsor may elect, to give the winners an alternate prize. All prizes are awarded "AS IS" and without warranty of any kind, express or implied. The prize winner will be solely responsible for all federal, state and/or local taxes, and for any other fees or costs associated with the prize(s) they receive. The value of any prize awarded to a winner may be reported for tax purposes as required by law. The winner may be required to provide Sponsor with a valid social security number or tax identification number before the prize will be awarded for tax reporting. An IRS Form 1099 may be issued in the name of the winner, or if a minor, in the name of entrant's parent or legal guardian, for the actual value of the prize(s) received. Unclaimed prize(s) will be forfeited.

General Prize Condition:Each potential Winner is responsible for all federal, state, and/or local taxes and for any other applicable fees or costs associated with acceptance or use of any prize won during Sweepstakes promotion, and  may be required to execute an Affidavit of Eligibility, a Liability Release, and (where legal)a Publicity Release (collectively, "Prize Claim Documents"). If potential Winner is not of legal age of majority in his or her resident state (otherwise known as a "minor), it becomes the Sponsor's option whether the applicable prize be either awarded in the name of parent or legal guarding of Winner, or Winner's parent or legal guardian ratifies and signs all Prize Claim Documents.

General Provisions: Acceptance of a Prize constitutes Winner's permission for Sponsor to utilize Winner's name, photograph, likeness, voice, biographical information, statements and address (entailing city and state) for advertising and/or publicity purposes worldwide and in all forms of media now known or developed hereafter, in perpetuity, without further compensation except where prohibited by law. Winners (and if Winner is a minor, their parent of legal guardian) agree that the Sweepstakes Entities shall not be responsible or liable for, and are hereby released from, any and all costs injuries, losses, or damages of any kind, including, without limitation, death and bodily injury, due in whole or in part, directly, or indirectly, to participation in the Sweepstakes or any Sweepstakes-related activity, or from acceptance, receipt, possession and/or use or misuse of any prize, and have not made any warranty, representation, or guarantee, express or implied, in fact or in law, with respect to any prize, including, without limitation, to such prize's quality or fitness for particular purpose.

The Sponsor reserves the right to cancel, suspend and/or modify the Sweepstakes, or any part of it, if any fraud, technical failures or any other factor beyond Sponsor's reasonable control impairs the integrity or proper functioning of the Sweepstakes, as determined by Sponsor in its sole discretion. Sponsor reserves the right, in its sole discretion, to disqualify any individual it finds to be tampering with the entry process or the operation of the Sweepstakes or to be acting in violation of the Official Rules of this or any other promotion or any terms or conditions of the Nutrients Solutions website or an unsportsmanlike or disruptive manner. Any attempt by any person to deliberately undermine the legitimate operation of the Sweepstakes may be a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Sponsor's failure to enforce any term of this Sweepstake shall not constitute a waiver of that provision.

The Sponsor assumes no responsibility for any damage to your computer system that is occasioned by accessing the Website or participating otherwise in the Sweepstakes, or for any computer system, phone line, hardware, software, or program malfunctions, or other errors, failures or delays. Without limiting the generality of the foregoing, no responsibility is assumed for incomplete, illegible, misdirected, misprinted, forged, tampered with, altered, late, lost, damaged, stolen, or postage-due submissions, prize notification, or other Sweepstakes materials, all of which are void; or for lost, interrupted, inaccessible or unavailable networks, servers, satellites, Internet service providers, websites, or other connections; or for miscommunications, failed, jumbled, scrambled, delayed, or misdirected computer, telephone, or cable transmissions; or for any technical malfunctions, failures, difficulties, or other errors of any kind or nature; or for the incorrect or inaccurate capture of information, or the failure to capture any information.

The Sponsor assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries. The Sponsor is not responsible for any problems or technical malfunction of any telephone network or telephone lines, on-line computer systems, servers, or providers, computer equipment, software, failure of any email or entry to be received by Sponsor on account of technical problems, human error or traffic congestion on the Internet or at any website, or any combination thereof, including any injury or damage to participant's or any other person's computer relating to or resulting from participation in this Sweepstakes or downloading any materials in this Sweepstakes. If for any reason this Sweepstakes is not capable of running as planned due to infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of the Sponsor which corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Sweepstakes, the Sponsor reserves the right at its sole discretion to disqualify any individual who tampers with the entry process and to cancel, terminate, modify or suspend the Sweepstakes. Sponsor reserves the right at its sole discretion to cancel, terminate, modify or suspend the Sweepstakes.

Privacy: Sponsor will be collecting personal data about entrants in accordance with Sponsor’s privacy policy. Please review the Sponsor’s privacy policy at NutrientsSoltions.com. By participating in the Sweepstakes, you agree to Sponsor’s collection and usage of your personal information and acknowledge that you have read and accepted Sponsor’s privacy policy.

Limitation of Liability: By entering, participants release and hold harmless Sponsor, its parent, subsidiary, and affiliated companies, respective subsidiaries, directors, officers, employees and agents from any and all liability or any injuries, loss or damage of any kind arising from or in connection with this Sweepstakes or acceptance or use of any prize won. 

Choice of Law:All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of participant and Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the substantive laws of the State of Florida, USA, without reference to its conflict of laws principles. 

Winner's List/Official Rules: After notification and acceptance, Winner(s) may be announced on the Website or Website's applicable social media outlets. To receive a list of winner(s), send a stamped self-addressed envelope to: "Nutrients Solutions Social Media Sweepstakes Winners List," Nutrients Solutions, LLC 16000 Pines Blvd, Pembroke Pines, FL 33332. All such requests must be received with 30 days of the Sweepstakes promotion's end period. Please reference the Sweepstakes title in the request. These official rules will be posted on the Website and will be accessible to all.

Miscellaneous: Facebook, Instagram, Twitter, and Pinterest are not registered trademarks of Sponsor. This promotion is in no way sponsored, endorsed or administered by, or associated with, Facebook, Instagram, Twitter or Pinterest. You understand that you are providing your information to Sponsor and not to Facebook, Instagram, Twitter or Pinterest. The information you provide will only be used for verification of your eligibility to participate in the Sweepstakes. Any questions, comments or complaints regarding the Sweepstakes are to be directed to Sponsor at the address provided, not Facebook, Instagram, Twitter, or Pinterest.
